1. Introduction
This Intellectual Property, Copyright & Trademark Policy explains how PROCEKA TechSol Private Limited (“PROCEKA”, “we”, “us”) protects its intellectual property, and how it respects the intellectual property rights of others, in connection with our website, services, and any future digital products. It works alongside our Website Terms & Conditions, Acceptable Use Policy, AI Usage & Responsible AI Policy, Service Engagement Terms & Conditions, and Information Security Policy.
2. Purpose
This Policy clarifies ownership of intellectual property connected with PROCEKA, sets out permitted and prohibited uses, and provides a process for addressing intellectual property concerns, in order to protect our intellectual assets while respecting third-party rights.
3. Scope
This Policy applies to the Website, all current PROCEKA services, and any future software products, SaaS platform, AI platform, marketplace, learning platform, document management system, mobile application, or API we introduce.
4. Definitions
“Intellectual Property” means copyright, trademark, trade name, trade secret, and other proprietary rights recognised under applicable law. “PROCEKA Content” means material created by or for PROCEKA, including Website content, methodologies, and proprietary frameworks. “Deliverable” means material prepared specifically for a client under an Engagement, as defined in our Service Engagement Terms & Conditions.
5. Intellectual Property Rights
PROCEKA and associated branding, content, and materials may be protected under applicable intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999, and may also be the subject of current or future registration. We do not claim registration of any specific trademark, copyright, or patent except where we have expressly stated that registration exists.
6. Copyright
Original content created by PROCEKA, including text, illustrations, graphics, and the compilation and arrangement of Website content, is protected by copyright under the Copyright Act, 1957, whether or not formally registered.
7. Trademark
“PROCEKA” and associated logos and marks are used by PROCEKA TechSol Private Limited as trade marks or trade names in connection with our services, and may be protected under the Trade Marks Act, 1999 or under common law, whether or not formally registered at any given time.
8. Trade Name
“PROCEKA TechSol Private Limited” is our registered corporate name. Use of our trade name to suggest an affiliation, endorsement, or partnership that does not exist is not permitted.
9. Logo
Our logo and visual branding elements are proprietary to PROCEKA and may not be used, copied, or modified without our prior written consent, except as expressly permitted under Section 34.
10. Domain Names
The domain proceka.com and any related domains used by PROCEKA are our property, and unauthorised use of confusingly similar domain names to impersonate or mislead in connection with our business is not permitted.
11. Website Content
All content on the Website, including text, illustrations, graphics, and design, is PROCEKA Content and is protected under this Policy and our Website Terms & Conditions.
12. Articles
Articles and written insights published on the Website (including on our Resources and Insights pages, as they are populated) are PROCEKA Content, and may not be reproduced or republished without permission, except as permitted under Section 34.
13. Business Guides
Business guides and similar informational content made available on the Website are PROCEKA Content, intended for your own reference and internal use, as further described in our Refund, Cancellation & Payment Policy regarding digital products.
14. Templates
Templates, checklists, and similar downloadable formats developed by PROCEKA are PROCEKA Content. Purchasing or downloading a template grants you a licence to use it for your own purpose; it does not transfer ownership of the underlying template to you.
15. Reports
General reports published on the Website are PROCEKA Content. Client-specific reports prepared under an Engagement are addressed separately in Section 30.
16. Research Materials
Research materials and knowledge resources developed by PROCEKA reflect our own effort and expertise and are PROCEKA Content, protected under this Policy.
17. Training Content
Training and workshop materials developed by PROCEKA are PROCEKA Content. Attendees may use materials provided to them for their own learning purposes but may not redistribute or commercially exploit them without permission.
18. Graphics
Illustrations and graphics on the Website are original works created for PROCEKA and are protected under copyright as PROCEKA Content.
19. Icons
Icons used on the Website are either created specifically for PROCEKA or used under an appropriate licence; either way, their use on the Website does not grant you rights to extract and reuse them independently.
20. Photographs
PROCEKA does not currently use stock or generic photography on the Website, consistent with our design approach favouring original illustrations. Where any photograph is used in future, its use will be subject to appropriate rights or licensing.
21. Videos
The Website does not currently include video content. If we introduce video content in future, it will be PROCEKA Content or used under an appropriate licence, and protected under this Policy.
22. Downloadable Digital Products
Downloadable digital products made available through the Website are licensed for your own use upon purchase or download, as described in our Refund, Cancellation & Payment Policy; ownership of the underlying intellectual property remains with PROCEKA unless expressly agreed otherwise in writing.
23. Software
Any current or future proprietary software developed by or for PROCEKA, including any future client portal, professional portal, SaaS platform, or mobile application, is PROCEKA Content, and use of such software will be subject to specific licence terms provided at the time it becomes available.
24. Source Code
Source code underlying the Website or any future PROCEKA software product is proprietary and confidential. Attempting to access, extract, reverse engineer, or copy such source code without authorisation is prohibited, consistent with Section 25 of our Acceptable Use Policy.
25. Databases
Any database or structured data compilation created by PROCEKA (such as an internal knowledge base) is protected as PROCEKA Content. Unauthorised extraction or compilation of such data is prohibited, consistent with Section 36 of our Acceptable Use Policy.
26. AI Prompts
Prompts, prompt structures, and related techniques developed by PROCEKA for use with AI tools, as described in our AI Usage & Responsible AI Policy, may constitute valuable proprietary know-how and are treated as PROCEKA Content where they reflect our own original development effort.
27. AI-Generated Content
Where AI tools are used to assist in preparing Website content or client deliverables, the resulting content, once reviewed and finalised by PROCEKA personnel, is treated as PROCEKA Content or a client Deliverable in the same manner as other work product, consistent with Section 10 of our AI Usage & Responsible AI Policy.
28. Methodologies
PROCEKA’s professional methodologies, frameworks, and approaches to advisory work, developed over time through our own effort, are proprietary know-how, retained by PROCEKA even where applied in delivering a specific client Deliverable, consistent with Section 22 of our Service Engagement Terms & Conditions.
29. Proprietary Frameworks
Proprietary business, compliance, and technology frameworks developed by PROCEKA (such as our internal advisory approach) remain PROCEKA’s intellectual property, and clients receive the benefit of their application, not ownership of the framework itself, unless expressly agreed otherwise in writing.
30. Client Deliverables
Ownership of Deliverables specifically prepared for a client is governed by Section 23 of our Service Engagement Terms & Conditions: subject to full payment, ownership of the client-specific Deliverable transfers to the client, while PROCEKA’s underlying methodologies, templates, and tools used to produce it remain our property.
31. Third-Party Intellectual Property
Where the Website or our Deliverables reference or incorporate third-party material, we aim to do so with appropriate rights or permission, or within the bounds of fair dealing under applicable copyright law, and we expect users to respect third-party intellectual property in the same way.
32. Open Source Components
Where the Website or any future PROCEKA software uses open-source components (such as elements of the underlying WordPress platform), those components remain subject to their own applicable open-source licences, separate from PROCEKA’s own proprietary content and code.
33. User-Submitted Content
Where you submit content or documents to us, you represent that you have the right to share that content and that doing so does not infringe any third party’s intellectual property rights, consistent with Section 19 of our Website Terms & Conditions.
34. Permitted Uses
You may view Website Content for personal or internal business reference, share links to Website pages, and use downloaded digital products for your own purpose as licensed at the point of download, provided this does not imply endorsement or affiliation not otherwise agreed.
35. Prohibited Uses
You must not reproduce, distribute, modify, republish, reverse engineer, sell, sublicense, or commercially exploit PROCEKA Content or Deliverables beyond the permitted use described in Section 34 and any applicable licence, without our prior written permission, except where expressly permitted by applicable law.
36. Licence to Use Website
Your use of the Website is subject to a limited, non-exclusive, non-transferable licence to access and view its content for the permitted purposes described in Section 34, which may be withdrawn in accordance with our Website Terms & Conditions and Acceptable Use Policy.
37. Requests for Permission
If you wish to use PROCEKA Content beyond the permitted uses described in this Policy, please contact us using the details in Section 42 with details of the intended use, and we will consider the request.
38. Reporting Infringement
If you believe PROCEKA Content infringes your intellectual property rights, or that a third party is infringing PROCEKA’s intellectual property, please contact us using the details in Section 42 with sufficient detail to identify the material and the rights concerned, and we will review the matter in good faith.
39. Repeat Infringers
We reserve the right to restrict or terminate access to the Website or our services for users who repeatedly infringe intellectual property rights, consistent with Section 40 of our Acceptable Use Policy.
40. Reservation of Rights
All rights in PROCEKA Content not expressly granted under this Policy are reserved. No provision of this Policy should be interpreted as granting any licence or right by implication.
41. Policy Updates
We may update this Policy from time to time to reflect changes in our services, intellectual property portfolio, or applicable law, particularly as future software products, AI features, and platforms are introduced. The “Effective Date” below indicates when this Policy was last revised.
